China Liberal Education Holdings Limited Enters into Definitive Agreement to Acquire Oriental Wisdom Cultural Development Co., Ltd.

China Liberal Education Holdings Limited (Nasdaq: CLEU) ("China Liberal," the "Company," or "we"), a China-based company that provides smart campus solutions and other educational services, today announced that on June 9, 2022, the Company, through its wholly-owned subsidiary, China Liberal (Beijing) Education Technology Co., Ltd. ("China Liberal Beijing"), entered into a definitive stock purchase agreement (the "Agreement") with Beijing Cloud Class Technology Co., Ltd. ("Cloud Class") to acquire from Cloud Class 100% of the issued equity interests of Beijing Oriental Wisdom Cultural Development Co., Ltd. ("Oriental Wisdom"), an integrated education service provider focusing on operating jointly-managed academic programs in the vocational higher education industry in China. This acquisition is a critical initiative of the Company's business strategy of boosting the Company's development in the vocational education industry through integrating enterprises and developing vocational education across various industries.

Pursuant to the Agreement, China Liberal Beijing agrees to acquire 100% of the equity interests of Oriental Wisdom from Cloud Class in consideration of 7,000,000 ordinary shares of the Company, subject to certain payment schedules set forth in the Agreement. The transaction contemplated by the Agreement has been approved by the Company's board of directors at a special meeting on June 1, 2022, with the closing expected to occur near the end of June 2022.

The acquisition of Oriental Wisdom is expected to bring synergy to the Company in the vocational education industry, enhancing the collaboration between educational institutions and companies, and improving the Company's management capabilities. Following the completion of the acquisition, the Company believes that it will be able to develop curriculum systems with trusted teacher resources and integrate professional skills and knowledge into liberal arts education, overcoming the obstacles many higher education institutions face in professional studies and reformations. Meanwhile, with a large and increasing number of students, the Company expects to expand its services to internship referrals, project outsourcing, and multi-level cooperation with leading companies for talent recruitment and training, providing students with premium employment opportunities.

'BTS RECIPE BOOK' provides details about cooking methods and includes vegan and gluten-free recipe options to meet the dietary needs of diverse readers. Also, QR codes are included for readers to easily access videos showing all cooking processes, allowing beginners to easily follow and enjoy the content. BTS LYRICS INSIDE' sold out in Japan and the United States within a day of its launch in June, showing how CAKE's educational content has received a lot of attention from readers around the world," said a CAKE representative. Altium, IPC Education Foundation, and Arduino Announce Student Electronics Design Competition

Altium LLC, the leading printed circuit board (PCB) design software company, is partnering with the IPC Education Foundation (IPCEF) and Arduino to launch the second annual student electronics design challenge. This competition aims to engage, educate, and enhance PCB design capabilities while developing STEM solutions to environmental challenges. The electronics design challenge is an excellent opportunity for students to showcase their talents and gain real-world experience. The Innovation for Environmental Change 2022 International Student Design Competition (#PCBeTheChange) engages student teams to help address common environmental concerns using Altium’s educational tools with Arduino hardware. Over 17 countries submitted entries to last year's competition, which addressed various local environmental issues, including city traffic, shoreline erosion, bushfire detection, honey bee endangerment, and more. Teams will use Altium Upverter Modular PCB design software and the Arduino Portenta H7 to create prototype designs that will improve the environment in each team's respective local area. The teams will be challenged to tackle one or more environmental concerns, such as air pollution, water quality, and solar energy capture. WestEd to Study Impact of Online Math Learning Program on Student Outcomes

WestEd, a nonpartisan, nonprofit research, development, and service agency, along with co-principal investigators from Age of Learning®, the leading education technology innovator and creator of the ABCmouse® online learning program, today announced that WestEd was awarded a research grant from the U.S. Department of Education’s Institute of Education Sciences (IES) to evaluate the effectiveness of My Math Academy, Age of Learning’s adaptive math mastery program. The study is part of an IES initiative that funds research to explore, develop, evaluate, and measure instructional strategies and materials for improving students’ STEM learning. It represents the largest, most comprehensive independent study of My Math Academy to date. The IES grant to study My Math Academy is one of only a few issued by IES to researchers evaluating learning programs developed by private education technology companies. This grant will support further collaboration between WestEd and Age of Learning and will extend previous studies in 2017 and 2019, which found that My Math Academy accelerated children’s mathematics skills and fostered greater engagement in their math learning. “This is a critical moment in education as school leaders and teachers seek solutions that help young learners build their mathematics skills in the early grades and continue to recoup learning loss from the pandemic,This grant provides a unique opportunity to conduct a large-scale, rigorous design study of My Math Academy in elementary schools that will gather efficacy data on the program, giving educators increased knowledge of how students learn, how teachers can advance that learning, and the available programs that can accelerate this development.” Steve Schneider, WestEd Senior Director of STEM Research and Entrepreneurship. “We take a research-driven approach to developing our programs and have already amassed a significant body of evidence showing the effectiveness of My Math Academy in improving learning outcomes while fostering a love for math learning,” said Sunil Gunderia, Chief Innovation Officer at Age of Learning. “Across the country, school district leaders are prioritizing the need for solutions that improve student learning outcomes in math while equipping students and teachers alike with tools that are fun, dynamic, personalized, and effective, and this study with WestEd will give us a greater opportunity to show that My Math Academy is delivering significant learning gains for all students.” The new study is an opportunity to further examine the efficacy of My Math Academy at a larger scale, with leading researchers analyzing and measuring data from kindergarten and first-grade classrooms across dozens of districts using the program over two school years. Classrooms will be randomly assigned into “treatment” and “control” groups so researchers can adequately measure the use of My Math Academy programs and educator-supporting materials under routine school conditions. Researchers will also be able to understand the effect of having students use My Math Academy for more than one school year, and a final report is expected in spring 2026. My Math Academy has already been successfully implemented by school districts across the country. It meets the highest level of evidence standards under the Every Student Succeeds Act (ESSA), Tier 1, Strong Evidence, as well as all ESSER and Title I funding requirements. Earlier studies have found that My Math Academy improved learning outcomes in kindergarten and first-grade mathematics. One recently published study found that 98 percent of pre-K students in a Title I District who used My Math Academy reached the highest benchmark in math.
